1. Parties and scope

These terms of sale (the "Terms") govern the launch film design and production services offered by Aviv TEBOUL, a sole proprietor trading as "Tercet Studio", SIREN 892 034 141, SIRET 892 034 141 00044, whose registered office is at 12 rue Blaise Pascal, 92200 Neuilly-sur-Seine, email hello@tercet.studio (the "Studio"), to any business client, whether a legal entity or an individual acting in the course of their business (the "Client").

The Studio's packages are intended exclusively for business clients. Signing a quote, accepting it in writing by email together with payment, or paying directly on the website constitutes unconditional acceptance of these Terms, which prevail over all Client documents, including the Client's general purchasing terms. The applicable Terms are those in effect on the date of the quote or, for a direct website order, on the date of online payment. They are attached to the quote and available at tercet.studio/cgv/.

2. Packages, prices, and options

The Studio offers the following packages, described in more detail on the website and specified in each quote:

VAT per shot; TV, cinema, outdoor advertising, or any paid offline use, on quote (article 10).

Prices are in euros excl. VAT. The Studio qualifies for the VAT exemption scheme: VAT not applicable, art. 293 B of the French CGI. The amount excluding VAT is therefore the amount payable. Website prices are indicative for quotes and may change, but are fixed for a direct order paid on the website. Only the quote, valid for thirty days from its issue date, or, for a direct order, the package description on the website on the payment date, binds the Studio.

3. Orders and brief

The order becomes binding when the Studio receives payment of the full price, either directly on the website through the "Order" buttons (secure Stripe payment) or through the payment link sent with the quote or invoice. For a direct website order, payment constitutes unconditional acceptance of the Terms in effect on the payment date. The Client then supplies a complete brief, meaning: a description of the product and its audience, access to the product or its screens and mockups, brand assets (vector logo, colors, fonts), the desired format or formats, the target launch date, and any required elements (notices, messages, existing music).

The delivery period starts on day 0, the business day on which the Studio has received both payment and the complete brief. The Studio acknowledges receipt in writing and confirms the expected delivery date.

4. Production and approvals

Production follows the steps below. The Client must approve each step in writing (email is sufficient) before the next begins:

  1. Script: the Studio proposes three written directions, each built around one concept. The Client chooses one, which the Studio refines until the script is approved.
  2. Storyboard: the Studio plans every shot of the film. Approval starts production.
  3. First cut: a complete film (picture, voice, music) is submitted to the Client for feedback.
  4. Revisions: feedback is incorporated under the conditions of article 6 until the final version is approved.
  5. Delivery: the final files are delivered under the conditions of article 8.

An approved step is not reopened. Requests affecting a previously approved step (for example, a change of concept after script approval or a new shot after storyboard approval) require an additional quote or an option. The Client consolidates feedback into a single submission per round, sent by one contact designated when the order is placed.

5. Delivery times

Delivery times are in business days (Monday through Friday, excluding French public holidays), starting from day 0 as defined in article 3: ten business days for Teaser, fourteen for Launch and Launch Kit, and seven for the express option.

These delivery times require the Client to respond to each request for approval or materials within 48 business hours. The Studio likewise responds to each Client submission within 48 business hours. If the Client takes longer, delivery is extended by the length of the Client's delay, and the Studio may reschedule production around its other commitments. The Studio promptly informs the Client of any event likely to delay delivery and proposes a new date. If a delay attributable solely to the Studio exceeds fifteen business days, the Client may terminate the order in writing and receive a refund of amounts paid for undelivered services.

6. Revisions

From the first cut through delivery, requests to change the edit, pacing, typography, on-screen text, voice (script or performance), and music are unlimited in number of rounds, within the approved script and storyboard. A "round" is one consolidated submission of feedback followed by a new version.

Each round includes at most one shot regeneration (a new production of an animated image from the storyboard). Additional regenerations cost €25 excl. VAT per shot, subject to the Client's prior written agreement. Requests that change the approved script or storyboard, film length, product shown, or number of formats or hooks require an option or an additional quote.

7. Cancellation, suspension, and postponement

If the Client cancels after work has begun, the Studio retains 50% of the total order price and refunds the rest of the amounts paid, unless otherwise required by law or another provision of these Terms. If the Client suspends production (by not responding or by requesting a postponement) for more than thirty calendar days, the Studio may invoice for work completed and reschedule the remaining work according to its availability. If the Studio cancels for reasons other than Client fault or force majeure, amounts paid for services not performed are refunded.

8. Delivery and acceptance

Deliverables are supplied digitally through a download link: the film in the package's format or formats (MP4 H.264 files in full 1080p resolution, or another agreed resolution), the agreed hooks and variants, subtitles (in a separate file or burned in, depending on the package), and a still cover image. Working files (editing projects, individual shots, separate audio tracks) are not included in the deliverables.

The Client has ten business days after delivery to report in writing any failure to conform to the quote or approved version. After this period, delivery is deemed accepted. The Studio retains a copy of the deliverables for at least six months after delivery.

9. Prices, invoicing, and payment

Payment is by card via Stripe, in euros. The full price is paid in a single payment at order, either directly on the website through the "Order" buttons or through the payment link sent with the quote. Options and additional services ordered during production are paid through a Stripe payment link sent with the invoice. Invoices are payable on receipt and no later than thirty days after their issue date. No discount is offered for early payment.

Under articles L. 441-9 and L. 441-10 of the French Commercial Code (Code de commerce), late payment automatically incurs penalties, without prior formal notice, calculated at the interest rate applied by the European Central Bank to its most recent refinancing operation plus ten percentage points, together with a fixed recovery fee of €40, without prejudice to additional compensation for documented costs. The grant of rights under article 10 takes effect only upon full payment.

10. Intellectual property and rights granted

The Studio is the author of the films it produces. Subject to full payment, the Studio grants the Client rights to reproduce, publicly display and perform, and adapt the delivered film and its delivered variants (reframing, subtitling, translation of on-screen text) for the following uses, referred to as "web and social media uses": the Client's websites and applications, social media, online video platforms, email, presentations, trade shows and events, and online advertising. This grant is worldwide and covers the entire period of rights protection, with no time limit.

Unless covered by a specific quote and written agreement, the grant excludes TV, cinema, radio, outdoor advertising (digital or print), and any paid offline use, the conditions of which depend in particular on the music license. The film's music is generated specifically for the film using an artificial intelligence tool (ElevenLabs). It is not composed by the Studio and is not covered by the grant above. Under its subscription with the tool's publisher, the Studio holds a commercial use license covering the uses granted in this article for the full duration of the grant. The Client benefits from this license within its limits; its terms are available on request. Any use of the music outside the delivered film is excluded. The Client must not modify the film beyond the adaptations authorized above, distort it, or present it as the Client's own work.

The Client retains all rights to the materials it supplies (brand, logo, interfaces, text). The Studio retains ownership of working files, unused script directions and storyboards, and the methods, templates, and tools it has developed.

11. Portfolio use

The Studio may display the delivered film, clips, and still images, together with the Client's name and logo, as examples of its work on its website, social media, and sales materials after the Client first releases the film publicly. The Client may object at any time by email; the Studio then removes the reference within fifteen days.

12. Materials supplied by the Client

The Client warrants that it holds the necessary rights to all materials it supplies to the Studio (brands, logos, interfaces, text, images, fonts, recordings, required music) and that those materials do not infringe third-party rights. The Client indemnifies the Studio against any resulting claims. The Client is solely responsible for the content of the messages it asks the film to convey (claims, comparisons, commercial promises) and for ensuring that distribution of the film complies with the rules applicable in each country of distribution, including any notices or information required for the public.

13. Confidentiality

The Studio keeps confidential any nonpublic information supplied by the Client for film production (unreleased product, roadmap, business data) until the Client discloses it publicly and for no more than two years after delivery. This obligation does not prevent the portfolio use permitted by article 11, which applies only after the film's first public release.

14. Liability

The Studio is subject to an obligation of reasonable efforts (obligation de moyens). It guarantees no commercial results, audience figures, or ranking for the film or product. The Studio's total liability, regardless of cause, is limited to the amount excluding VAT actually paid by the Client for the order concerned and does not cover indirect losses such as lost revenue, customers, reputation, or data. Neither party is liable for a failure caused by force majeure within the meaning of article 1218 of the French Civil Code (Code civil).

15. Personal data

Personal data processed in the business relationship (contact details, correspondence, invoicing) is handled in accordance with the Studio's privacy policy, which sets out the purposes of processing, retention periods, and the rights of the individuals concerned.

16. General provisions

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect. The Studio's failure to invoke a Client breach does not waive its right to do so later. These Terms are written in French; in the event of a translation, the French version prevails. Any changes to the Terms apply to quotes issued and direct orders paid on the website after publication of those changes.

17. Governing law and disputes

These Terms and the contracts they govern are subject to French law. In the event of a dispute, the parties first seek an amicable resolution within thirty days of written notification of the dispute. If no agreement is reached, the dispute is brought before the courts of Nanterre, including in cases involving multiple defendants or third-party proceedings.
